1. Multimedia Marketing Firm (here forth referred to as MMF, or designer) Website Design Agreement (hereinafter referred to as the “Agreement”) is entered into on the date listed below (the “Effective Date”), and the Company Name and Owner Name below shall herefore be referred to as “Client”. 2. DESCRIPTION OF THE PROJECT The Designer (MMF) agrees to perform the following services for the Client: • Design Website (Visual Design) • Develop Website for Search Engine Optimization. • Maintain Website Updates as Required by Developer of Plugins • Provide Monthly Analytics to determine traffic patterns on website to determine the best Marketing Strategy. • Develop Marketing Videos and ads with Client approval for social media. MMF will post these to client social media accounts “only” if requested by client given permission as administrator on clients accounts. • Provide unlimited updates to website. • Other related services shall be considered upon agreement between both parties. 3. REVISIONS ENTITLEMENT - The Client is entitled to 2 revisions of the work conducted by the Designer (MMF). Any revisions exceeding this amount will be chargeable at a rate of $45 per revision. However, if the client has a Monthly Maintenance Plane with MMF of $100 Monthly, the client is entitled to unlimited updates to a “confirmed web design.” (This service is optional) PLEAES TYPE AGREE IN BOX BELOW

PRICE AND PAYMENT - If on a monthly maintenance plan that a design fee for website was paid up front, the Client agrees to compensate the Designer an amount of $100 per month and the Designer agrees to invoice the Client at the end of each month. This plan can be cancelled at any time by either party. If the design fee for web design was waived then the monthly maintenance plan is a dedicated twelve month agreement at $100 dollars a month. If the dedicated account is cancelled before the twelve month term, the design fee will be due upon cancellation. The Parties agree that if the invoices are not paid within 10 days of receiving them, the Designer will be entitled to charge a late fee of $35. Over 30 days late and Designer reserved the right to suspend website from publication. Over 60 days late, and Designer reserves the right to delete website completely. The parties agree that if monthly maintenance plan is in place, it will be billed at $100 a month due on the first of each month, with the same late fee and provisions as described in the previous article. If cancelled or deleted the files that were provided at the time of build will be returned to client within 30 days and render the Designer (MMF) no longer responsible for its upkeep, the site however can still be hosted with MMF without the maintenance plan in place for a fee of $35 a month. If the client decides to move the website to another hosting platform, Designer (MMF) shall not be responsible for any lost, distorted information in the process. The Client has requested and agreed to a monthly maintenance plan that will include the following: Web Design, Web Development, Provide Monthly Website Analytics, Provide Necessary Plugin Updates, provide unlimited requested updates to website from client, Create Marketing Adds for clients Social Media Platforms and Google, Provide Updates to these platforms at “Customer Request Only.” (If client wishes for MMF to make post to the above-mentioned platforms, access as Admin to these sites must be granted, and client agrees to not hold MMF responsible for any negative feedback, or removal of such adds by the hosting platforms or from client’s followers of these sites. By signing below the client agrees to the monthly maintenance plan and its terms listed above, and to the cancellation agreement of this plan. PLEASE TYPE AGREE IN BOX BELOW

5. CONFIDENTIALITY - All terms and conditions of this Agreement and any confidential information must be kept confidential, unless the disclosure is required pursuant to process of law. - Disclosing or using this information for any purpose beyond the scope of this Agreement, or beyond the exceptions set forth above, is expressly forbidden without the prior consent of the Parties. - The Parties agree that the confidentiality clause in this Agreement will remain active and in power even upon the termination of this Agreement. 6. INTELLECTUAL PROPERTY - The Designer agrees that any intellectual property provided to him/her by the Client will remain the sole property of the Client, including, but not limited to, copyrights, patents, trade secret rights, and other intellectual property rights associated with any ideas, concepts, techniques, inventions, processes, works of authorship, confidential information or trade secrets. - The Designer will refrain from using such intellectual property upon the termination of this Agreement. 7. GOVERNING LAW - This Agreement shall be governed by and construed in accordance with the laws of Harnett Count, NC. PLEASE TYPE AGREE IN THE BOX BELOW

8. ALTERNATIVE DISPUTE RESOLUTION - Any dispute or difference whatsoever arising out of or in connection with this Agreement shall be submitted to arbitration/mediation/negotiation (circle one) in accordance with, and subject to the laws of Harnett County, NC. PLEASE TYPE AGREE IN THE BOX BELOW

9. ASSIGNMENT - The Parties hereby agree not to assign any of the responsibilities in this Agreement to a third party, unless consented to by both Parties in writing. PLEASE TYPE AGREE IN THE BOX BELOW

10. ENTIRE AGREEMENT - This Agreement contains the entire agreement and understanding among the Parties to it with respect to its subject matter, and supersedes all prior agreements, understandings, inducements and conditions, express or implied, oral or written, of any nature whatsoever with respect to its subject matter. The express terms of the Agreement control and supersede any course of performance and/or usage of the trade inconsistent with any of its terms. PLEASE TYPE AGREE IN THE BOX BELOW

11. REPRESENTATION AND WARRANTIES - The Parties agree and disclose that they are fully authorized to enter this Agreement. Both Parties’ performances and obligations are not to violate the rights of any third party or else violate other, if any, agreements made between them and/or any other organization, person, business or law/governmental regulation. 12. DISCLAIMER OF WARRANTIES - The Designer (MMF) warrants to complete the Services listed in this Agreement as per the Client’s requirements and specifications. However, the Designer does not represent or warrant that such services provided in this Agreement will create additional sales, exposure, brand recognition, profits or other benefits. - In addition to the above, the Designer (MMF) holds no responsibility towards the Client in the event that the delivered work does not lead to the Client’s desired results. 13. LIMITATION OF LIABILITY - Under no circumstances will either party be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this Agreement or the transactions it contemplates (whether for breach of contract, tort, negligence, or other form of action) in the event that such is not related to the direct result of one of the Parties’ negligence or breach. 14. SEVERABILITY - In the event that any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, then the remaining provisions will remain in force in accordance with the Parties’ intention. PLEASE TYPE AGREE IN THE BOX BELOW

15. Plagiarism - Client agrees that any photos, graphics, logos, verbiage or any other content provided by the client is free and clear of all royalties, copyright and licensing requirements and agrees to be solely responsible for any disputes that arise from any such information provided to MMF.
